Terms of Service

In short: you own your website and everything you put on it, and you are responsible for it. We host it, keep it running as well as we reasonably can, and let you take your content with you if you leave. The service comes "as is", our liability is limited, and Ontario law applies.

Who we are

Clear CMS is run by Slava Solutions (slavasolutions.com), [legal entity name], [business address], Ontario, Canada.

"We", "us" and "Clear CMS" mean Slava Solutions. "You" means the person or organization that signs up for or uses Clear CMS. If you accept these terms for an organization, you confirm you are allowed to bind it.

What Clear CMS is

Clear CMS is a hosted service for building, editing and publishing websites. Your site runs on our hosting at an address like yourname.clearcms.app, or on your own domain name that you connect to it. You and the people you invite edit the site in the Clear CMS editor.

These terms, the Acceptable Use Policy, the Privacy Policy and, where it applies, the Data Processing Addendum together make up our agreement with you.

Your account

• You need an account to use the editor. You can sign in with an email address or with Google.
• Keep your sign-in details safe. You are responsible for what happens under your account and for the people you invite to your site.
• Give us accurate contact details and keep them up to date, so we can reach you about your site.
• You must be old enough to form a binding contract where you live, and at least [minimum age, e.g. 16].

Your content

Everything you or your invited users put on your site (text, photos, video, files, and anything your visitors send through your site) is your content. You keep all rights to it.

You give us permission to store, copy, display and send your content only as needed to run your site and the service, for example to publish your pages, make backups, and show previews in the editor.

You are responsible for your content and your site. That includes having the rights to everything you publish, making sure it is lawful and follows the Acceptable Use Policy, and meeting any rules that apply to you, such as privacy laws for information you collect from your own visitors.

Our role

We act as your host and service provider. We do not check or approve your content before it goes live, and we do not claim ownership of it.

Where your site handles personal information about other people (your visitors, members or staff), you decide why and how that information is used, and we handle it only on your instructions. The Data Processing Addendum covers this in more detail.

We may review a new site name or connected domain before it goes live, and we may remove content or suspend a site as described in the Acceptable Use Policy.

Service availability

We work to keep Clear CMS and your site available, secure and backed up. But the service is provided "as is" and "as available". We do not promise it will be uninterrupted, error free, or fit for any particular purpose, except where the law does not allow us to exclude such promises.

We may change, add or remove features over time. If we remove something important you rely on, we will try to tell you in advance.

We use outside providers to run the service (listed in the Privacy Policy). Outages at those providers may affect your site.

Fees

[Pricing and billing terms to be added: plan prices, billing period, currency, taxes, payment method, renewal, refunds, and what happens if a payment fails.]

If we introduce or change fees, we will tell you at least [notice period, e.g. 30 days] in advance. Until you agree to a paid plan, you will not be charged.

Ending the agreement

You can stop using Clear CMS at any time by [how to cancel, e.g. emailing admin@clearcms.app].

We can suspend or end your access if you seriously or repeatedly break these terms or the Acceptable Use Policy, if you do not pay fees that are due, or if we stop offering the service. Where we reasonably can, we will warn you first and give you a chance to fix the problem. We may act immediately where there is a legal risk or harm to others.

Your data when things end. For [export window, e.g. 30 days] after your account ends, you can ask us for a copy of your site content (records and uploaded files). After that we delete it, apart from copies we must keep by law and backups that expire on their normal schedule (see the Privacy Policy).

Limits on our liability

To the extent the law allows:

• We are not liable for indirect or consequential losses, such as lost profits, lost revenue, lost data, or damage to reputation.
• Our total liability to you for all claims relating to the service is limited to the greater of the amount you paid us in the [12] months before the claim, or [cap amount, e.g. CAD $100].

Nothing in these terms limits liability that cannot be limited by law.

Your responsibility to us

If someone makes a claim against us because of your content or your breach of these terms, you agree to cover our reasonable costs and losses from that claim. We will tell you about the claim promptly and let you help handle it.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be handled by the courts of Ontario, unless the law where you live gives you a right to go to your local courts.

Changes to these terms

We may update these terms from time to time. If a change is significant, we will tell you by email or in the editor at least [notice period, e.g. 30 days] before it takes effect. If you keep using Clear CMS after that, the new terms apply. If you do not agree, you can stop using the service and ask for your data.
